1. Coverage

These General Terms and Conditions (GTC) apply to all contracts, services and other services between the GLOBIS Consulting GmbH (hereinafter "we" or "us") and their customers (hereinafter "customer") in the area Accounting, current accounting, staff accounting and tax processing be completed.

Deviating or supplementary terms and conditions of the customer will not be recognized unless their validity has been expressly agreed in writing.


2. Contract conclusion

Our offers are non-binding and non-binding unless they are expressly designated as binding.

A contract only comes through our Written order confirmation, the conclusion of a service contract or by the actual commencement of the provision of services.


3. Scope and delineation of performance

The scope of the services to be provided by us results exclusively from the respective contract, offer or the written description of services.

We provide our services in accordance with the applicable legal regulations, in particular the Balance sheet Accounting Act (BiBuG).

No tax advice:
Unless expressly agreed otherwise, we provide no tax advice in the sense of the Wirtschaftsstreuhandberufsgesetz (WTBG).
In particular, our activities do not include:

  • the legal or tax assessment of arrangements,

  • representation before tax authorities or courts;

  • binding tax information.


4. Obligations of the customer to cooperate

The customer undertakes to provide all documents, information and supporting documents necessary for the proper provision of services. Complete, accurate and timely to be made available.

The customer is for them. Correctness of content responsible for the data transmitted.
Delays or additional costs incurred due to incomplete, erroneous or delayed documents are at the expense of the customer.


5. Remuneration and terms of payment

The remuneration depends on the agreed contract, offer or the valid price list.

Invoices are – unless otherwise agreed – within 14 days from invoice date without deduction due for payment.

If we are late, we are entitled to Interest on late payments of 9.2 percentage points above the respective base rate of the Oesterreichische Nationalbank (OeNB) to charge and to claim reasonable dunning and collection costs.


6. Liability

We are only liable for damages Intent or gross negligence.

In case of slight negligence, we are only liable for injury Essential contractual obligations and limited to the contract-typical, foreseeable damage.

Liability for:

  • lost profit,

  • indirect damage,

  • Consequential damage
    is - as far as legally permissible - excluded.

There is no liability for damages that incorrect, incomplete or late customer information are due.

Mandatory statutory liability provisions remain unaffected.


7. Data protection

The processing of personal data takes place in accordance with the applicable data protection regulations, in particular the GDPR.
Details are of each valid Data protection declaration which is part of these GTC.


8. Confidentiality

Both Parties undertake to cooperate with each other. Confidential information, in particular business, corporate and financial data, to be treated strictly confidentially.

This obligation also exists beyond the end of the contractual relationship, if there is no legal obligation to disclose.


9. Duration and termination

Contracts are concluded for the respective agreed term.

An orderly termination is required Written formUnless otherwise agreed.

In the event of early termination, the services provided up to the date of termination shall be: Proportional remuneration.


10. Final provisions

Changes or additions to these GTC require the written form. This also applies to departure from the written form requirement.

If individual provisions of these GTC are wholly or partially ineffective, the effectiveness of the other provisions remains unaffected. The ineffective provision shall be replaced by one which is closest to the economic purpose.

The law of the Republic of Austria excluding the conflict-of-law rules of private international law.

The place of jurisdiction for all disputes arising from or in connection with these GTC is – if permitted by law – Vienna, Austria.
